Terms & Conditions

Welcome to Xindus. These Terms & Conditions govern your access to and use of the Xindus website, platform, products, and services.

By accessing or using our website or Services, you agree to be bound by these Terms & Conditions and any applicable service-specific terms, policies, rate cards, or annexures.

1. About Xindus

Xindus Trade Networks Private Limited, along with its subsidiaries and affiliates, provides technology-enabled cross-border logistics and related services.

Throughout these Terms, “Xindus”, “Company”, “we”, “us”, and “our” refer to Xindus Trade Networks Private Limited and its applicable affiliates. “Customer”, “you”, and “your” refer to any individual, business, or entity accessing or using our Services.

2. Scope of Services

Xindus may provide services including:

  • Cross-border shipping and logistics
  • Customs facilitation
  • Importer of Record (IOR) services
  • Marketplace management
  • Product and related growth services
  • Other allied services offered by Xindus from time to time

The availability of specific Services may depend on the applicable country, shipment type, product, operational requirements, and other conditions.

3. Service-Specific Terms

Certain Services may be subject to additional terms, rate cards, policies, operational guidelines, or other service-specific conditions.

These additional terms may include, but are not limited to:

Xindus PremiumXindus XpressXindus LiteXpress B2BXindus BooksXindus OceanImporter of Record (IOR) servicesXindus AssureIndia Post and other carrier services

By using a particular Service, you agree to the terms applicable to that Service.

4. Acceptance and Updates to These Terms

Your use of our website or Services constitutes acceptance of these Terms and any applicable service-specific terms.

Xindus may update, modify, replace, or withdraw these Terms, services, pricing, operational conditions, or related policies from time to time. Where applicable, updates may be communicated through the Xindus platform, registered email address, mobile application, or other official communication channels.

Continued use of the Services after the effective date of updated terms may constitute acceptance of those updated terms.

5. Pricing and Charges

Applicable prices, rate cards, surcharges, accessorial charges, and service conditions will be communicated through the Xindus platform, applicable agreements, rate cards, or other official channels.

Xindus may revise pricing or applicable charges, including in cases of:

  • Changes in shipment volume or frequency
  • Changes in the shipment or commodity profile
  • Regulatory or operational changes
  • Carrier or transportation cost changes
  • Applicable taxes, duties, or surcharges

Additional charges may apply for services such as remote area delivery, oversized or overweight shipments, customs processing, duty handling, address corrections, and other applicable accessorial services.

Unless otherwise stated, applicable taxes, including GST, may be charged in addition to the published service charges.

6. Shipment Weight and Measurements

The chargeable weight of a shipment may be calculated based on the actual weight or volumetric weight, whichever is higher.

Volumetric weight may be calculated using the following formula:

Length (cm) × Width (cm) × Height (cm) ÷ 5000

The final shipment weight and dimensions determined by Xindus or its authorised partners shall be used for billing and operational purposes. Information provided by the Customer during booking may be considered provisional until the shipment is measured and verified.

Different Services may have separate weight, dimensional, or slab-based pricing rules.

7. Customer Responsibilities

You are responsible for:

  • Providing accurate shipment information, including product descriptions, quantities, values, and HS/HSN codes
  • Providing accurate invoices, packing lists, and other required documentation
  • Complying with applicable export, import, customs, tax, and other laws
  • Providing KYC, Power of Attorney, IOR, and other regulatory documentation when required
  • Ensuring that goods are properly and securely packaged for transportation
  • Providing complete and accurate consignee, delivery address, and contact information
You are solely responsible for any losses, delays, penalties, taxes, or additional costs resulting from incorrect information, misdeclaration, inadequate documentation, or non-compliance with applicable laws or regulations.

8. Prohibited and Restricted Items

Customers must not use Xindus Services to ship any item that is prohibited or restricted under applicable laws or Xindus policies.

Xindus reserves the right to refuse, suspend, hold, return, or otherwise take appropriate action regarding shipments that violate applicable laws or our policies.

9. Customs, Duties and Taxes

Customs duties, taxes, and other government charges may apply to international shipments.

Depending on the shipment terms and applicable Service:

  • The consignee, shipper, or Importer of Record may be responsible for such charges.
  • Xindus may facilitate the payment of duties or taxes on behalf of the Customer.
  • Any amounts paid by Xindus on behalf of the Customer may be recovered along with applicable handling or disbursement fees.
  • Customs authorities may assess duties, taxes, values, or classifications differently from provisional calculations.

Any additional charges resulting from customs actions, documentation requirements, incorrect declarations, or regulatory requirements may be charged to the Customer where applicable.

10. Importer of Record (IOR) Services

Where the Customer uses Xindus as an Importer of Record, additional IOR-specific terms may apply.

The Customer remains responsible for ensuring that the information, documentation, product declarations, values, classifications, and other details provided are accurate and compliant with applicable laws.

All shipments requiring IOR services may be subject to review and approval by Xindus before customs clearance.

11. Invoicing and Payment

Invoices will be issued in accordance with the applicable Service and commercial terms.

Depending on the Customer's eligibility, Services may be provided on a prepaid basis or subject to an approved credit limit and credit period.

Customers must:

  • Pay invoices within the applicable payment period
  • Review invoices promptly and raise objections within the applicable timeframe
  • Clear all outstanding amounts when due

Late payment charges may apply to overdue amounts. Xindus may suspend or refuse Services until overdue payments are cleared.

12. Undelivered Shipments

Where a shipment cannot be delivered, Xindus may, depending on operational feasibility:

  • Attempt alternative delivery arrangements
  • Hold the shipment for a specified period
  • Return the shipment to an appropriate location
  • Apply storage or return charges
  • Dispose of or destroy the shipment where permitted under applicable policies and operational requirements

Any applicable storage, return, handling, disposal, or related costs may be charged to the Customer.

13. Claims

Claims for lost or damaged shipments must be raised in accordance with the applicable Xindus Claims Policy and within the relevant claim submission period.

Claims may require supporting documentation, including:

  • Shipment or commercial invoice
  • Photographs of damaged goods
  • Photographs of the packaging
  • Description and evidence of the loss or damage
  • Any other information reasonably requested for investigation

Claim eligibility and compensation may vary depending on the Service used and the circumstances of the shipment.

Xindus may not be responsible for losses or delays arising from circumstances beyond its control, including customs inspections, incorrect documentation, inaccurate delivery details, recipient unavailability, force majeure events, or other excluded circumstances.

14. Certificate of Fact and Insurance

Where applicable, Xindus may issue a Certificate of Fact in accordance with its applicable policies.

Transit insurance is generally the responsibility of the Customer unless separate coverage or protection is purchased through an applicable Xindus program.

15. Xindus Assure

Eligible Customers may have the option to use the Xindus Assure program, subject to its applicable terms and conditions.

The availability, coverage, exclusions, claim limits, fees, and claim process for Xindus Assure will be governed by the specific terms applicable to that program.

Xindus Assure may not cover indirect or consequential losses, including loss of business or customers.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Xindus shall not be liable for indirect, incidental, special, consequential, or loss of profit damages.

Where Xindus is found liable for a direct loss, its liability shall be subject to the applicable Service terms, Claims Policy, and any relevant monetary limits.

17. Indemnity

You agree to defend, indemnify, and hold harmless Xindus and its affiliates from claims, losses, liabilities, penalties, taxes, damages, and expenses arising from:

  • Your breach of these Terms
  • Misdeclaration or inaccurate information
  • Violation of applicable laws or regulations
  • Improper use of the Services
  • Fraud, negligence, or misconduct
  • Any other action or omission for which you are responsible

18. Force Majeure

Xindus shall not be responsible for any failure or delay caused by events beyond its reasonable control, including:

  • Natural disasters or acts of God
  • Government or regulatory actions
  • Customs or trade policy changes
  • Changes in laws or regulations
  • Sanctions or restrictions
  • Pandemics
  • Transport disruptions
  • Carrier failures
  • War, strikes, civil disturbances, or similar events

Payment obligations will remain subject to the applicable payment terms.

19. Suspension or Termination of Services

Xindus may suspend, restrict, or discontinue access to any Service where required due to:

  • Non-payment of outstanding amounts
  • Breach of these Terms
  • Regulatory or legal requirements
  • Fraudulent or suspicious activity
  • Operational or security concerns

Any outstanding payment or other obligations will remain payable after termination or suspension.

20. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of India.

The Parties will make reasonable efforts to resolve disputes in good faith. Where a dispute cannot be resolved, the courts of Gurugram, Haryana shall have exclusive jurisdiction, subject to applicable law.

21. Entire Agreement

These Terms, together with applicable service-specific terms, policies, rate cards, annexures, and other official agreements or communications, constitute the applicable agreement governing the use of Xindus Services.
