Throughout these Terms, “Xindus”, “Company”, “we”, “us”, and “our” refer to Xindus Trade Networks Private Limited and its applicable affiliates. “Customer”, “you”, and “your” refer to any individual, business, or entity accessing or using our Services.

Continued use of the Services after the effective date of updated terms may constitute acceptance of those updated terms.
Applicable prices, rate cards, surcharges, accessorial charges, and service conditions will be communicated through the Xindus platform, applicable agreements, rate cards, or other official channels.
Xindus may revise pricing or applicable charges, including in cases of:
Additional charges may apply for services such as remote area delivery, oversized or overweight shipments, customs processing, duty handling, address corrections, and other applicable accessorial services.
Unless otherwise stated, applicable taxes, including GST, may be charged in addition to the published service charges.
The chargeable weight of a shipment may be calculated based on the actual weight or volumetric weight, whichever is higher.

The final shipment weight and dimensions determined by Xindus or its authorised partners shall be used for billing and operational purposes. Information provided by the Customer during booking may be considered provisional until the shipment is measured and verified.
Different Services may have separate weight, dimensional, or slab-based pricing rules.
You are responsible for:
Customers must not use Xindus Services to ship any item that is prohibited or restricted under applicable laws or Xindus policies.
Xindus reserves the right to refuse, suspend, hold, return, or otherwise take appropriate action regarding shipments that violate applicable laws or our policies.
Customs duties, taxes, and other government charges may apply to international shipments.
Depending on the shipment terms and applicable Service:
Any additional charges resulting from customs actions, documentation requirements, incorrect declarations, or regulatory requirements may be charged to the Customer where applicable.
Where the Customer uses Xindus as an Importer of Record, additional IOR-specific terms may apply.
The Customer remains responsible for ensuring that the information, documentation, product declarations, values, classifications, and other details provided are accurate and compliant with applicable laws.
All shipments requiring IOR services may be subject to review and approval by Xindus before customs clearance.
Invoices will be issued in accordance with the applicable Service and commercial terms.
Depending on the Customer's eligibility, Services may be provided on a prepaid basis or subject to an approved credit limit and credit period.
Customers must:
Late payment charges may apply to overdue amounts. Xindus may suspend or refuse Services until overdue payments are cleared.
Where a shipment cannot be delivered, Xindus may, depending on operational feasibility:
Any applicable storage, return, handling, disposal, or related costs may be charged to the Customer.
Claims for lost or damaged shipments must be raised in accordance with the applicable Xindus Claims Policy and within the relevant claim submission period.
Claims may require supporting documentation, including:
Claim eligibility and compensation may vary depending on the Service used and the circumstances of the shipment.
Xindus may not be responsible for losses or delays arising from circumstances beyond its control, including customs inspections, incorrect documentation, inaccurate delivery details, recipient unavailability, force majeure events, or other excluded circumstances.
Where applicable, Xindus may issue a Certificate of Fact in accordance with its applicable policies.
Transit insurance is generally the responsibility of the Customer unless separate coverage or protection is purchased through an applicable Xindus program.
Eligible Customers may have the option to use the Xindus Assure program, subject to its applicable terms and conditions.
The availability, coverage, exclusions, claim limits, fees, and claim process for Xindus Assure will be governed by the specific terms applicable to that program.
Xindus Assure may not cover indirect or consequential losses, including loss of business or customers.
To the maximum extent permitted by applicable law, Xindus shall not be liable for indirect, incidental, special, consequential, or loss of profit damages.
Where Xindus is found liable for a direct loss, its liability shall be subject to the applicable Service terms, Claims Policy, and any relevant monetary limits.
You agree to defend, indemnify, and hold harmless Xindus and its affiliates from claims, losses, liabilities, penalties, taxes, damages, and expenses arising from:
Xindus shall not be responsible for any failure or delay caused by events beyond its reasonable control, including:
Payment obligations will remain subject to the applicable payment terms.
Xindus may suspend, restrict, or discontinue access to any Service where required due to:
Any outstanding payment or other obligations will remain payable after termination or suspension.
These Terms shall be governed by the laws of India.
The Parties will make reasonable efforts to resolve disputes in good faith. Where a dispute cannot be resolved, the courts of Gurugram, Haryana shall have exclusive jurisdiction, subject to applicable law.
These Terms, together with applicable service-specific terms, policies, rate cards, annexures, and other official agreements or communications, constitute the applicable agreement governing the use of Xindus Services.
